Our Services simply provide tools, resources, and a platform to assist you in selecting a provider, service, or product. You acknowledge and agree that GuideUncle: (A) does not direct, control, or employ any healthcare provider, service, or product, and has no authority over their actions or omissions; (B) bears no responsibility or liability for the performance or behavior of any healthcare provider, service, or product; (C) makes no representations, warranties, or guarantees regarding the quality, safety, or legality of services provided by any healthcare provider, nor the qualifications, identity, or background of any healthcare provider, or your interactions with them; (D) does not conduct vetting, screening, or identity/background checks of any healthcare provider; and (E) is not responsible for payment for services provided by any healthcare provider. It is advisable to exercise caution and conduct your own screening before engaging with anyone through Our Services.

Welcome to our platform, which is part of the GuideUncle Network of Sites (referred to collectively as "Our Services"), including our website (the "Site") and our mobile application (the "App"). Please carefully review the following Terms of Use before using Our Services, so you understand your legal rights and obligations concerning GuideUncle ('GUIDEUNCLE', 'we', 'our', or 'us'). By accessing or using the Site or downloading/accessing the App, you expressly acknowledge and agree that you are entering into a binding legal agreement with us. You confirm that you have read and agree to comply with these Terms of Use, along with the Privacy Policy accessible by clicking here (the 'Terms'). You hereby waive any rights to demand an original (non-electronic) signature or the delivery or retention of non-electronic records, to the extent permitted by applicable law. If you do not agree to these Terms, please refrain from accessing or using the Site.

1. Amendment Clause:

We retain the authority to modify these Terms as deemed necessary. Any alterations will become effective ten (10) days after the updated Terms are posted on the Site. Your continued use of the Site following this period implies your acceptance of the modifications.

2. Acceptance of Terms:

The Site is designed for individuals aged sixteen (16) years and above. If you are under the age of 16, please refrain from accessing or using the Site.

3. Site Usage:

Throughout the validity of these Terms, you are granted authorization to access and utilize the Site, provided you adhere to these Terms and relevant legal requirements.

4. Limitations.

You are prohibited from: (i) replicating, distributing, exhibiting, replicating, framing, or altering any aspect of the Site, Content, or Marks (as outlined below) without our explicit written permission; (ii) utilizing, altering, creating derivative works from, transferring (through sale, resale, license, sublicense, download, or otherwise), reproducing, distributing, displaying, or disclosing Content (as defined below), except as explicitly permitted herein; (iii) disrupting servers or networks linked to the Site; (iv) employing or initiating any automated system (including but not limited to "robots" and "spiders") to gain access to the Site; and/or (v) evading, disabling, or otherwise interfering with security features of the Site or features that obstruct or limit the use or replication of any Content or that enforce restrictions on Site use.

5. Ownership of Intellectual Property.

5.1. Content and Trademarks.

The (i) materials found on the Site, encompassing, but not restricted to, text, documents, articles, brochures, descriptions, products, software, graphics, photos, sounds, videos, user interfaces, visual interfaces, photographs, trademarks, logos, sounds, music, artwork, computer code, interactive features, and services (collectively known as the "Materials"), inclusive of the design, structure, selection, coordination, expression, "look and feel," and arrangement of such Materials; (ii) User Submissions, as described below (together with the Materials, the "Content"); and (iii) the trademarks, service marks, and logos contained therein ("Marks"), are either owned, controlled, or licensed by GUIDEUNCLE and are safeguarded by applicable copyright or other intellectual property regulations and agreements. The Site, the Site logo, and other marks are Marks of GUIDEUNCLE or its affiliates. Any other trademarks, service marks, or logos utilized on the Site are the trademarks, service marks, or logos of their respective owners. We reserve all rights not explicitly granted in and to the Site and the Content.

5.2. Usage of Content.

Content provided on the Site is furnished to you for informational and personal use only and may not be utilized, altered, duplicated, distributed, transmitted, broadcasted, exhibited, sold, licensed, reverse engineered, or otherwise exploited for any other purposes whatsoever (including, without limitation, the creation of derivative works) without our explicit written authorization. If you choose to download or print a copy of the Content, you must retain all copyright and other proprietary notices contained therein.

6. Third-Party Sources and Content.

6.1. The Site facilitates access to content from Third Party Sources ('Third Party Content') not under our ownership or control. It also allows interaction with these sources, defined as third party websites, services, partners, and customers.

6.2. We lack control over Third Party Sources and do not bear responsibility for their content, terms, privacy policies, or actions. Users are advised to review the terms and policies of any Third Party Source before engaging with them.

6.3. We disclaim responsibility for the accuracy, appropriateness, safety, or Intellectual Property Rights of Third Party Content. 

6.4. Use of the Site may expose you to Third Party Content that could be inaccurate or offensive. You retain the discretion to engage with Third Party Sources or access their content, understanding that it's at your own risk.

6.5. You are solely accountable for your interactions with Third Party Sources. By using the Site, you waive any rights against us and release us from liability related to Third Party Content or interaction with Third Party Sources. Any queries or complaints should be directed to the Third Party Source.

7. User Submissions

7.1. User Contributions Responsibility:

By using the Site, you may submit, host, share, and publish content ('User Submissions'). You acknowledge that we don't guarantee confidentiality for any User Submissions, whether they're published or not. You're solely responsible for your User Submissions and their consequences upon posting, publishing, or uploading. We hold the discretion to publish your User Submissions and reserve the right, without further notice, to monitor, censor, edit, remove, delete, and/or take down any Content, including User Submissions, at any time and for any reason.

7.2. Ownership of User Submissions:

You affirm that you own or possess necessary rights and permissions regarding all Intellectual Property Rights (defined below) in your User Submissions, allowing the Site to use them as outlined in these Terms. Unless explicitly stated otherwise, all references to Content herein include User Submissions. "Intellectual Property Rights" cover various rights, including patents, copyrights, trademarks, and similar rights under applicable laws. You retain full ownership of your User Submissions.

7.3. License for User Submissions:

Upon submitting User Submissions to GUIDEUNCLE, you grant GUIDEUNCLE a global, irrevocable, non-exclusive, royalty-free, perpetual, sub-licensable, and transferable license. This license allows GUIDEUNCLE to utilize, reproduce, distribute, create derivative works, display, and perform the User Submissions for GUIDEUNCLE's Site and business purposes. This includes redistributing part or all of your User Submissions (and derivative works) in any media formats and through any media channels. By granting this license, you waive any moral rights in your User Submissions to the extent permitted by law. Additionally, each user of the Site or other viewer/user of the User Submission is granted a non-exclusive right to use, reproduce, distribute, create derivative works of, display, and perform such User Submissions, all in accordance with these Terms.

7.4. Prohibited Content:

You agree not to display, post, submit, publish, upload, or transmit User Submissions that: (i) are unfair or deceptive under consumer protection laws; (ii) are copyrighted, protected by trade secret, or subject to third-party proprietary rights, including privacy and publicity rights, unless you own such rights; (iii) pose risks to personal or public safety or health, compromise national security, or interfere with law enforcement investigations; (iv) impersonate another person; (v) promote illegal drugs, violate export control laws, pertain to illegal gambling, or illegal arms trafficking; (vi) are unlawful, defamatory, libelous, threatening, pornographic, harassing, hateful, racially or ethnically offensive, or encourage criminal conduct, civil liability, law violations, or are inappropriate; (vii) involve theft or terrorism, or (viii) are otherwise malicious or fraudulent.

7.5. Exposure Acknowledgment:

By accessing and using the Site, you acknowledge that: (i) you will encounter User Submissions from various sources, and GUIDEUNCLE is not accountable for their accuracy, utility, safety, or Intellectual Property Rights; and (ii) you might come across User Submissions that are inaccurate, offensive, indecent, or objectionable. You agree to waive any legal or equitable rights or remedies against GUIDEUNCLE concerning the above points.

7.6. Content Complaints:

GUIDEUNCLE values the Intellectual Property Rights of others and urges you to report any Content you believe infringes upon your Intellectual Property Rights.

8. User Profile.

Our services cater to both registered users and guests. This segment of the Terms pertains solely to registered users.

Throughout registration, we may request specific contact and personal information, such as your name, email address, image, address, and phone number. Mandatory fields for completion will be explicitly stated.

Please note that inaccurate, outdated, or false information may hinder registration and compromise our ability to offer services. To access it, you must provide your email and password. Additionally, we may introduce and mandate alternative means of identification and authentication intermittently.

You commit to maintaining the utmost confidentiality regarding your login credentials and refraining from sharing them. It's essential to change your password regularly, at least every six months.

You bear responsibility for any content you upload or input, including links to external sites within User Submissions.

We hold no liability for inaccuracies made during registration or any misuse resulting from compromised or shared details.

To delete your user profile, submit a removal request. Verification of your identity may be necessary, either via email or alternative methods, before processing your request. Once confirmed, your account will be terminated, revoking registered user privileges.

Following termination, registration renewal is possible at any time by completing the registration process again.

• Irrespective of applicable laws, we reserve the right to temporarily or permanently
• restrict, suspend, or terminate your user profile, access to the service, or remove
• uploaded content if we deem, at our discretion, that you have abused service rights,
• breached Terms, violated laws, or engaged in harmful actions toward us, other users, or service providers.

 9. Description of Information:

We strive for accuracy but cannot guarantee the Content's accuracy, completeness, reliability, currency, or absence of errors on the Site. We reserve the right to modify the Content, wholly or partially, at our discretion, without prior or subsequent notice. Your use of the Content, wholly or partially, is solely at your own risk and accountability.

10. Disclosure:

We retain the right to access, examine, maintain, and reveal any obtained information related to the Site and your usage, as deemed reasonably necessary to (i) comply with applicable laws, regulations, legal procedures, subpoenas, or governmental requests, (ii) enforce the Site Terms, including investigating potential violations, (iii) identify, prevent, or address fraud, security, or technical concerns, (iv) respond to user support inquiries, or (v) safeguard the rights, assets, or safety of GUIDEUNCLE, its users, or the general public.

11. Links:

11.1. The Site might contain links and allow you to share content to third-party websites not owned or controlled by GUIDEUNCLE. We are unaffiliated, lack control over, and bear no responsibility for the content, privacy policies, or practices of any third-party websites. You: (i) hold sole responsibility and liability for your interaction with and linking to third-party websites and any content you share or post on them; and (ii) explicitly release GUIDEUNCLE   from all liability arising from your use of any third-party website. Hence, we advise you to review the terms, conditions, and privacy policies of each third-party website you visit.

11.2. We authorize you to link to the Site under the condition that: (i) you link without replicating any Site page; (ii) the hyperlink text accurately reflects the Site Content; (iii) you don’t misrepresent your association with GUIDEUNCLE   or provide false GUIDEUNCLE-related information or imply endorsement of services or products without express consent; (iv) you don’t link from websites with offensive or controversial content (at our discretion) or content that violates intellectual property, privacy, or other rights of any entity; and/or (v) you and your website adhere to these Terms and relevant laws.

12. Privacy:

We will handle any personal information collected or obtained in connection with the Site as per our privacy policy available here (Privacy Policy). By agreeing, you permit us to use the personal information you provide in accordance with the Privacy Policy.

13. WARRANTY DISCLAIMERS.

13.1. This section applies whether or not the services provided on the Site are for payment.

Applicable law may not allow the exclusion of certain warranties, so to that extent, certain exclusions set forth herein may not apply.

13.2. THE SITE IS PROVIDED ON AN 'AS IS' AND 'AS AVAILABLE' BASIS, AND WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

THE SITE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. GUIDEUNCLE    HEREBY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, TITLE, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND THOSE ARISING BY STATUTE OR FROM A COURSE OF DEALING OR USAGE OF TRADE. GUIDEUNCLE    DOES NOT GUARANTEE THAT THE SITE WILL BE FREE OF BUGS, SECURITY BREACHES, OR VIRUS ATTACKS. THE SITE MAY OCCASIONALLY BE UNAVAILABLE FOR ROUTINE MAINTENANCE, UPGRADING, OR OTHER REASONS. YOU AGREE THAT GUIDEUNCLE    WILL NOT BE HELD RESPONSIBLE FOR ANY CONSEQUENCES TO YOU OR ANY THIRD PARTY THAT MAY RESULT FROM TECHNICAL PROBLEMS OF THE INTERNET, SLOW CONNECTIONS, TRAFFIC CONGESTION OR OVERLOAD OF OUR OR OTHER SERVERS. WE DO NOT WARRANT, ENDORSE OR GUARANTEE ANY CONTENT, PRODUCT, OR SERVICE THAT IS FEATURED OR ADVERTISED ON THE SITE BY A THIRD PARTY.

13.3. GUIDEUNCLE    DOES NOT WARRANT, ENDORSE OR GUARANTEE ANY CONTENT THAT APPEARS IN A USER SUBMISSION, AND DOES NOT MAKE ANY REPRESENTATION OR WARRANTY WITH RESPECT TO, AND DISCLAIMS ALL LIABILITY FOR, ANY SUCH CONTENT.

13.4. YOU SPECIFICALLY ACKNOWLEDGE THAT GUIDEUNCLE  SHALL NOT BE RESPONSIBLE FOR THE USER SUBMISSIONS OR CONDUCT (INCLUDING DEFAMATORY, OFFENSIVE, ILLEGAL, OR NEGLIGENT CONDUCT) OF ANY SITE USER AND THAT THE RISK OF HARM OR DAMAGE FROM THE FOREGOING RESTS ENTIRELY WITH YOU.

13.5. YOUR RELIANCE ON, OR USE OF, ANY SITE CONTENT (INCLUDING, WITHOUT LIMITATION, ANY USER SUBMISSIONS), OR INTERACTION WITH ANY THIRD PARTY FEATURED ON THE SITE, IS AT YOUR SOLE RISK. IF YOU HAVE A DISPUTE WITH ANY THIRD PARTY AS A RESULT OF, OR ARISING FROM YOUR USE OF THE SITE, YOU AGREE THAT GUIDEUNCLE IS NOT AND SHALL NOT BE LIABLE FOR ANY CLAIMS OR DAMAGES ARISING OUT OF OR CONNECTED WITH SUCH DISPUTE.

13.6. EXCEPT AS EXPRESSLY STATED IN OUR PRIVACY POLICY, WE DO NOT MAKE ANY REPRESENTATIONS, WARRANTIES OR CONDITIONS OF ANY KIND, EXPRESS OR IMPLIED, AS TO THE SECURITY OF ANY INFORMATION YOU MAY PROVIDE OR ACTIVITIES YOU ENGAGE IN DURING THE COURSE OF YOUR USE OF THE SITE.

13.7. WE ENDEAVOR TO OFFER YOU VALUABLE INFORMATION ABOUT THE PRODUCTS AND SERVICES THAT ARE FEATURED / REVIEWED ON THE SITE.

HOWEVER, IN ORDER TO PROVIDE YOU WITH THIS INFORMATION AT NO COST, WE MUST SEEK REVENUE OPPORTUNITIES THROUGH OTHER MEANS. BY WAY OF EXAMPLE, WE MAY CHARGE A PLACEMENT FEE TO THOSE THIRD PARTIES THAT ARE FEATURED ON OUR SITE, AND WE MAY RECEIVE FEES EACH TIME A USER CLICKS THROUGH TO ONE OR MORE SUCH PARTIES AND/OR ACTUALLY PURCHASES PRODUCTS/SERVICES THAT ARE OFFERED BY ANY OF THEM. IN ALL CASES, HOWEVER, THE REVENUES THAT ARE PAID TO GUIDEUNCLE    WILL NOT INFLUENCE THE MATERIAL WE PRESENT ABOUT A SPECIFIC THIRD PARTY FEATURED ON OUR SITE.

14. LIMITATION OF LIABILITY.

14.1. TO THE FULLEST EXTENT PERMISSIBLE BY LAW, GUIDEUNCLE    SHALL NOT BE LIABLE FOR ANY INDIRECT, EXEMPLARY, SPECIAL, CONSEQUENTIAL, OR INCIDENTAL DAMAGES OF ANY KIND, OR FOR ANY LOSS OF DATA, REVENUE, PROFITS OR REPUTATION, ARISING UNDER THESE TERMS OR OUT OF YOUR USE OF, OR INABILITY TO USE, THE SITE, EVEN IF GUIDEUNCLE  HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES OR LOSSES.

Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages, so the above limitations may not apply to you.

14.2. IN NO EVENT SHALL THE AGGREGATE LIABILITY OF GUIDEUNCLE    FOR ANY AND ALL DAMAGES ARISING UNDER THESE TERMS OR OUT OF YOUR USE OF, OR INABILITY TO USE, THE SITE EXCEED THE TOTAL AMOUNT OF US $1,000.

15. Indemnity:

You consent to defend, indemnify, and hold harmless GUIDEUNCLE    and our affiliates, as well as our respective officers, directors, employees, and agents, from any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including but not limited to attorney's fees) arising from: (i) your use of, or inability to use, the Site; (ii) your User Submissions; (iii) your interaction with any Site user; or (iv) your violation of these Terms.

16. Term and Termination:

These Terms remain effective until terminated by GUIDEUNCLE    or yourself. GUIDEUNCLE at its sole discretion, retains the right to terminate these Terms and/or your access to the Site, or any part thereof, immediately at any time and with or without cause (including, without limitation, for a breach of these Terms). GUIDEUNCLE shall not be liable to you or any third party for termination of the Site, or any part thereof. If you object to any term or condition of these Terms, or any subsequent modifications thereto, or become dissatisfied with the Site in any way, your only recourse is to immediately discontinue use of the Site. Upon termination of these Terms, you shall cease all use of the Site. This Section ‎15 and Sections ‎5 (Intellectual Property Rights), ‎7.3 (License to User Submissions), ‎11 (Privacy), ‎12 (Warranty Disclaimers), ‎13 (Limitation of Liability), ‎14 (Indemnity), and ‎16 (Independent Contractors) to ‎18 (General) shall survive termination of these Terms.

17. Independent Contractors:

You and GUIDEUNCLE operate as independent contractors. Nothing in these Terms establishes a partnership, joint venture, agency, or employment relationship between you and GUIDEUNCLE. Under no circumstances should you make, or undertake, any warranties, representations, commitments, or obligations on behalf of GUIDEUNCLE.

18. Assignment:

These Terms, and any rights and licenses granted hereunder, cannot be transferred or assigned by you but may be assigned by GUIDEUNCLE    without restriction or notification to you.

19. General:

GUIDEUNCLE retains the right to discontinue or modify any aspect of the Site at any time. These Terms and the relationship between you and GUIDEUNCLE shall be governed by and construed in accordance with the laws of the State of Israel, without regard to its principles of conflict of laws. You agree to submit to the personal and exclusive jurisdiction of the courts located in Tel Aviv-Jaffa and waive any jurisdictional, venue, or inconvenient forum objections to such courts, provided that GUIDEUNCLE may seek injunctive relief in any court of competent jurisdiction. These Terms constitute the entire agreement between you and GUIDEUNCLE concerning the Site. If any provision of these Terms is deemed invalid by a court of competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of these Terms, which shall remain in full force and effect. No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and a party's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision. YOU AGREE THAT ANY CAUSE OF ACTION THAT YOU MAY HAVE ARISING OUT OF OR RELATED TO THE SITE MUST COMMENCE WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES. OTHERWISE, SUCH A CAUSE OF ACTION IS PERMANENTLY BARRED.
